# Entity Control Board (ECB)

The Entity Control Board (ECB) is the independent governance body of AIESEC in Denmark. It exists to ensure that all entities within AIESEC in Denmark — the Managing Committee (MC) and all Local Committees (LCs) — operate in accordance with the National Compendium, AIESEC's global policies, and the values of the organisation. The ECB is not part of the MC. It is a separate, oversight body.

## What the ECB Does

The ECB serves three core functions:

1. **Oversight:** Monitoring whether the MC and LCs comply with governance rules, financial standards, and operational requirements
2. **Adjudication:** Handling complaints, disputes, and violations — acting as an impartial body when conflicts arise between entities or individuals
3. **Election management:** Overseeing the MC election process at the National Congress to ensure fairness and compliance

The ECB does not run AIESEC in Denmark. It does not set strategy or make operational decisions. Its role is to ensure that those who do run the organisation follow the rules.

## ECB Composition

The ECB is composed of members who are independent from the current MC and LC leadership. The exact composition is defined in the National Compendium, but typically includes:

* **ECB Chair:** Leads the board, sets the agenda, and represents the ECB externally
* **ECB Members:** Additional board members, often 2–4 people, who collectively handle reviews, hearings, and decisions

### Who Can Serve on the ECB?

ECB members are typically:

* Alumni of AIESEC in Denmark with governance experience
* Former LCPs, former MC members, or former ECB members
* Individuals who are not currently holding an active leadership role in the MC or any LC (to maintain independence)

### How ECB Members Are Selected

The selection process is defined in the National Compendium. Typically:

1. The outgoing ECB or the National Congress opens a call for candidates
2. Candidates submit an application demonstrating their governance knowledge and independence
3. The National Congress elects or ratifies the ECB members

## ECB Powers

The ECB has specific powers granted by the National Compendium. These may include:

### Monitoring and Review

* Request reports and data from the MC and LCs
* Conduct standing assessments of LCs (evaluating compliance, financial health, and operational capacity)
* Review MC performance against the national plan

### Sanctions and Interventions

* Issue warnings to entities that are non-compliant
* Place LCs on probation (with specific conditions and timelines for improvement)
* In extreme cases, recommend suspension or dissolution of an LC (subject to National Congress approval, depending on the Compendium)
* Intervene in LC governance crises (e.g., an LCP resignation with no succession plan)

### Election Oversight

* Manage the MC election process at the National Congress
* Ensure candidates meet eligibility requirements
* Handle election complaints or disputes

### Dispute Resolution

* Mediate conflicts between LCs, or between an LC and the MC
* Adjudicate formal complaints from members about governance violations
